On February 21, 2025, Sichuan DeepFast Oil Drilling Tools Co., Ltd (hereinafter referred to as “DeepFast”), in cooperation with Sichuan Tianwen Law Firm, held a training activity on “Identification and Prevention of Common Legal Risks of Companies and Impact of the New [Company Law] on Corporate Governance”. In order to strengthen the awareness of legal compliance, enhance the ability of risk prevention and control, fully adapt to the governance requirements under the new [Company Law], and build a firm foundation of the rule of law for high-quality development.
At the training session, Miss Li Dan, senior partner of Sichuan Tianwen Law Firm, analyzed the common legal risks of each department of the company, combined with typical cases and practical experience, and put forward targeted prevention and control recommendations.
1. Sales and Marketing Department: emphasized the importance of using standardized contract templates, legal pre-audit and standardized signing process; for international business, enterprise needs to lay out their overseas intellectual property rights in advance, and set up a global protection mechanism for trademarks and patents.
2. R&D Departments: focusing on analyzing the risk of technical secret leakage and intellectual property infringement, it is recommended to protect core technology achievements through confidentiality agreement, non-competition agreement and perfect R&D file management.
3. Procurement and Production Departments: Raise the importance of supplier compliance review, contract fulfillment supervision and anti-commercial bribery mechanism to prevent joint and several liabilities due to suppliers' qualification defects or breach of contract.
4. QHSE Department: combined with cases of safety production, environmental compliance and product quality responsibility, emphasizing the necessity of strict implementation of national standards, improving emergency plans and quality traceability systems.
5.HR Department: sort out the risks of labor and employment, standardize the recruitment process, signing of labor contracts and payment of social security to avoid labor disputes; at the same time, strengthen the confidentiality obligations of executives and non-compete management.
With the new Companies Act coming into force on July 1, 2024, DeepFast is actively responding to changes in the legal environment. The training focused on explaining the core impact of the new law on corporate governance:
